1. Scope of Agreement

These Terms of Service apply exclusively to the purchase and use of the binderup.pro BDC Extension (the "Software"). This is a Business-to-Business (B2B) agreement. These terms do not govern or affect any separate agreements or professional consulting services provided by the owner (Niebuhr Gade 11, sttv, 2630 Taastrup, CVR: 43849425) outside of this specific software product.

2. Service Description & Data Responsibility

binderup.pro provides a software connector between D365FO and Azure DevOps.

No Data Access: The connector acts as a technical bridge. We do not host, store, or have access to the business data, logs, or source code synchronized through the connector.

Direct Integration: All data transfers occur directly between your own controlled environments.

3. Customer Responsibilities

You are responsible for:

• Providing correct configurations and necessary access permissions (tokens/API keys) within your D365FO and Azure DevOps instances.
• Ensuring that your use of the connector complies with your organization's security policies and applicable laws.

4. Pricing and Payment (Excl. VAT)

All prices are listed in DKK, excluding VAT/moms, and are charged per user per month.

Reseller: All orders are processed by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders.

5. No Right of Withdrawal & Refunds (B2B)

As this is a B2B digital service, all sales are final. There is no statutory right of withdrawal or "fortrydelsesret" once the license has been issued or the service accessed.

Cancellation: You may cancel your subscription at any time. The cancellation will take effect at the end of the current pre-paid billing period. No pro-rata refunds are provided for mid-period cancellations.

6. Limitation of Liability

To the maximum extent permitted by law:

• No Indirect Loss: We are not liable for any indirect, consequential, or incidental damages, including but not limited to loss of data, loss of profits, business interruption, or damages arising from errors in the synchronization between D365FO and Azure DevOps.
• Liability Cap: Our total cumulative liability for any claims arising from the service is limited to the total fees paid by you for the service during the 12 months preceding the event.

7. Disclaimer

The service is provided "as is" and "as available". We do not guarantee 100% uptime or that the service will be free from bugs, especially those arising from changes made by third-party providers (Microsoft Azure DevOps or D365FO).

8. Intellectual Property

We retain all rights, titles, and interests in the software, including the connector's code and branding. You are granted a limited, non-exclusive license to use the service for the duration of your subscription.

9. Governing Law

These Terms are governed by the laws of Denmark. Any disputes shall be settled by the City Court of Copenhagen (Københavns Byret).
